Terms of Service
These Terms of Service ("Terms") govern your access to and use of AgentFoundry, including the desktop application, the codenow.pro website, and any related services (collectively, the "Services") operated by Predixtions Inc. d/b/a AgentFoundry ("AgentFoundry", "we", "us", or "our"). By installing, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms
By creating an account, downloading the application, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" includes that entity.
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-product notice) at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
2. Eligibility and Account Registration
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement and that you are not barred from using the Services under any applicable law.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to keep that information updated. We may suspend or terminate accounts that violate these Terms.
3. Subscriptions, Billing, and Refunds
The Services include a free trial period. After the trial, continued use of paid features requires a paid subscription. Subscriptions renew automatically until canceled. Pricing is displayed at codenow.pro and within the application.
Fees are non-refundable except where required by law. You may cancel your subscription at any time, in which case you retain access through the end of the current billing period. Taxes are your responsibility unless we are legally required to collect them.
We may change pricing on prospective renewals with at least thirty (30) days' notice. If you do not agree to a price change, you may cancel before the change takes effect.
4. Acceptable Use
You agree not to use the Services to:
- Violate any law, regulation, or third-party right;
- Infringe intellectual property, privacy, publicity, or other rights;
- Generate, store, or transmit malware, ransomware, phishing content, or other malicious code;
- Generate content depicting child sexual abuse material, non-consensual intimate imagery, or content that incites violence against an identifiable group;
- Engage in unauthorized access of computer systems, networks, or data;
- Attempt to reverse engineer, decompile, or extract the source of proprietary components of the Services beyond what applicable open-source licenses permit;
- Use the Services to develop a competing product or to benchmark performance for public disclosure without our written consent;
- Resell, sublicense, or rent the Services without our written consent;
- Circumvent rate limits, safety filters, or security measures;
- Use automated systems to extract data from the Services in bulk in a manner that materially burdens our infrastructure.
We may suspend or terminate access if we reasonably believe you have violated this section. We may report illegal activity to authorities.
5. Your Content and Code
"Your Content" means the source code, prompts, files, configurations, agent manifests, knowledge bundles, skills, screenshots, and any other materials you create, upload, store, or transmit through the Services.
You retain all ownership of Your Content. We do not claim any ownership interest in Your Content. By using the Services, you grant AgentFoundry a limited, non-exclusive, worldwide license to host, store, transmit, display, and process Your Content solely to provide and improve the Services to you (including transmitting Your Content to third-party AI providers you have selected, as described in Section 7).
You are solely responsible for Your Content, including its legality, accuracy, and ownership. You represent and warrant that you have all rights necessary to grant the license above and that Your Content does not violate these Terms or any applicable law.
We do not use Your Content to train any general-purpose AI model owned by us or by any third party. Specifically, code, prompts, and files you process through the Services are not added to model training datasets without your separate, explicit, written consent.
6. Our Intellectual Property
The Services, including their design, code (other than open-source components), branding, logos, documentation, and "look and feel," are owned by AgentFoundry or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, AgentFoundry grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Services for your internal purposes during the term of your subscription.
The desktop application incorporates third-party open-source components (Electron, Monaco Editor, xterm.js, node-pty, and others). Those components are governed by their respective licenses, which take precedence over these Terms with respect to those components only. AgentFoundry's own application code is proprietary and not publicly distributed under an open-source license.
7. AI Models, Third-Party Providers, and Output
The Services let you select among third-party AI model providers (including, without limitation, Anthropic, OpenAI, Google, GitHub, and others) ("AI Providers"). When you invoke a model, the relevant prompt, code, and contextual data are transmitted to the AI Provider you have selected. Your use of an AI Provider's models is also subject to that provider's terms of service and acceptable use policy.
AI output is generated by statistical models and may be inaccurate, incomplete, offensive, or otherwise inappropriate. You are responsible for reviewing all AI output before use and for ensuring that it is appropriate for your purpose. We make no guarantee regarding the accuracy, originality, non-infringement, fitness for purpose, or legality of AI output.
Where multiple users provide identical or similar prompts, the output may be similar or identical. To the extent allowed under applicable law and the AI Provider's own terms, you may use AI output for any purpose permitted by these Terms, but you bear sole responsibility for that use.
You are responsible for ensuring that the data you transmit through the Services complies with any contractual or legal obligations you have, including obligations under data protection laws, confidentiality agreements, healthcare regulations (such as HIPAA), and export-control regulations.
8. Beta and Experimental Features
We may make beta, preview, or experimental features available. These features are provided "as is" without warranty of any kind, may be changed or discontinued at any time, and may not be subject to the same support commitments as generally available features. Use of beta features is at your own risk.
9. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to that handling.
10. Confidentiality
Each party agrees not to disclose the other's non-public business or technical information disclosed in connection with the Services except as necessary to perform under these Terms, to comply with law, or with the disclosing party's prior written consent.
11. Third-Party Services and Open Source
The Services integrate with third-party services and open-source software (for example, MCP servers, Claude Code, GitHub, Vercel, Supabase, Stripe, Resend, and the AI Providers listed in Section 7). Your use of those third-party services is subject to their own terms; we are not responsible for them.
12. Term and Termination
These Terms apply for as long as you use the Services. You may stop using the Services and delete your account at any time. We may suspend or terminate your access for breach of these Terms, suspected fraud, non-payment, legal requirement, or to protect the Services or other users. Sections that by their nature should survive termination (including Sections 5, 6, 13, 14, 15, 16, and 17) will survive.
13. Disclaimers
The Services and all AI output are provided "as is" and "as available," without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the Services will be uninterrupted, error-free, secure against unauthorized access, or that defects will be corrected.
We do not warrant the accuracy, completeness, or originality of AI output. You are solely responsible for verifying AI output before reliance.
14. Limitation of Liability
To the maximum extent permitted by law, in no event will AgentFoundry, its affiliates, officers, directors, employees, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with the Services or these Terms, regardless of the theory of liability and even if advised of the possibility of such damages.
Our aggregate liability arising out of or related to the Services or these Terms will not exceed the greater of (a) the amount you paid AgentFoundry in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States dollars (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limits may not fully apply to you. Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or other liability that cannot be limited under applicable law.
15. Indemnification
You will defend, indemnify, and hold harmless AgentFoundry and its affiliates from and against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your use of the Services in violation of these Terms or applicable law; (c) your violation of any third-party right (including intellectual-property or privacy rights); or (d) any output generated through your use of the Services that you publish, distribute, or otherwise act upon.
16. Governing Law and Dispute Resolution
16.1 Governing law.
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16.2 Binding arbitration.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, if applicable, its Consumer Arbitration Rules. The seat of arbitration will be Palm Beach County, Florida, United States. Arbitration will be conducted in English before a single arbitrator. Judgment on any award may be entered in any court of competent jurisdiction.
16.3 Class action waiver.
You and AgentFoundry agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a class proceeding.
16.4 Exceptions.
Either party may bring an individual action in small-claims court for disputes that qualify, and either party may seek injunctive or other equitable relief in a state or federal court located in Palm Beach County, Florida for actual or threatened infringement, misappropriation, or violation of intellectual-property or confidentiality rights.
16.5 Opt-out.
You may opt out of the arbitration agreement in this Section 16 by sending written notice to legal@codenow.pro within thirty (30) days of first accepting these Terms. The notice must include your name, account email, and a clear statement that you are opting out of arbitration. Opting out will not otherwise affect these Terms.
17. General Provisions
Entire agreement. These Terms, together with the Privacy Policy and any order forms, are the entire agreement between you and AgentFoundry regarding the Services and supersede prior agreements on the same subject matter.
Severability. If any provision is held unenforceable, the remaining provisions will continue in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
Force majeure. Neither party will be liable for failure or delay in performance caused by events beyond its reasonable control.
Notices. Notices to AgentFoundry must be sent to the legal address below. Notices to you may be delivered by email to the address on file or via in-product notice.
Export controls. You agree to comply with United States export-control laws and regulations and not to use the Services in any country to which the United States has embargoed the export of goods or services.
